This module provides a comprehensive introduction to commercial contracting and the legal, commercial, and operational considerations involved in creating effective agreements between customers and suppliers. Designed for procurement and supply professionals, the course develops the knowledge required to understand, analyse, and manage contractual arrangements throughout the procurement lifecycle.You will begin by exploring the key documentation that forms part of a commercial agreement, including invitations to tender, requests for quotation, specifications, key performance indicators (KPIs), contract documentation, pricing schedules, and supporting records. The module also examines the legal principles that underpin contract formation, including offer and acceptance, consideration, contractual capacity, and the risks associated with oral agreements, supplier terms and conditions, and international contracting.The course then explores different types of contractual arrangements, including one-off purchases, framework agreements, mini-competitions, call-off contracts, service contracts, and leasing arrangements. You will gain an understanding of how specifications are developed to support procurement activities and how KPIs and service level agreements (SLAs) are used to measure supplier performance and contractual outcomes.Finally, the module focuses on the key clauses commonly found in commercial contracts, including liabilities, indemnities, insurance requirements, subcontracting provisions, guarantees, and environmental, social, and governance (ESG) obligations. You will also examine a range of pricing mechanisms, including fixed-price, cost-plus, incentivised, and index-linked contracts, enabling you to evaluate commercial agreements and support effective contract management in practice.
