This MSc explores the structures, regulations, ethical frameworks and managerial practices that underpin good corporate governance in private, public and third-sector organisations. Teaching combines conceptual foundations with practical application, using case studies, simulations and practitioner input.

• Corporate Governance and Accountability – theories of governance, board roles and responsibilities, stakeholder relationships and mechanisms for accountability.
• Corporate Law, Regulation and Ethics – legal and regulatory frameworks affecting directors’ duties, disclosure requirements and corporate conduct, plus ethical decision-making.
• Risk Management and Internal Controls – identifying, assessing and managing strategic, financial and operational risks, and the role of internal audit and control systems.
• Financial Reporting and Analysis for Governance – interpreting financial statements, assurance issues and how reporting affects governance and investor decision-making.
• Corporate Social Responsibility and Sustainability – environmental, social and governance (ESG) considerations, sustainability reporting and long-term value creation.
• Strategy, Leadership and Board Dynamics – leadership styles, board composition, group dynamics and effective decision-making at senior levels.
• Research Methods – research design, data collection and analysis techniques used to support governance-related enquiry and evidence-based practice.
• Dissertation or Applied Project – an individual research dissertation or a practice-led consultancy project addressing a real governance challenge for an organisation.

Entry requirements

Applicants are normally expected to hold a UK honours degree (or international equivalent) in business, law, accounting, finance, management or a related discipline. Applicants with relevant professional experience in areas such as corporate compliance, company secretariat, audit, risk or legal advisory, but without a degree in a related subject, may also be considered.

All applicants whose first language is not English will need to demonstrate proficiency through an accepted English language qualification or equivalent evidence. Selection is based on academic background, references and personal statement; interviews may be requested where appropriate.
